„'Die Verweigerung der Entlastung ist ein klares Signal, und die Inanspruchnahme des Managements folgt im Regelfall', sagt der auf Managerhaftungsfälle spezialisierte Anwalt Mark Wilhelm. 'Hat der Aufsichtsrat Erkenntnisse über fahrlässige Pflichtverletzungen des Managements, die zu einem Schaden des Unternehmens führten, so muss der Aufsichtsrat das Management in Anspruch nehmen.' Tue er in so einer Situation nichts, könnte er sich selbst schadensersatzpflichtig machen. Die Zeiten, in denen die Aufseher einfach wegschauen konnten, sind vorbei. Nach einer Grundsatzentscheidung des Bundesgerichtshofs muss der Aufsichtsrat grundsätzlich handeln. 'Für den Aufsichtsrat entsteht im gewissen Rahmen eine Zwangslage, die regelmäßig zur Inanspruchnahme von Managern führt', erklärt Wilhelm.“
